J. J. Cranmore

Mr. Cranmore represents banks and other companies and handles various matters such
as start ups, conversions, extensions of new powers and products, mergers and
acquisitions, fiduciary activities, consumer and commercial regulatory issues, securities
offerings and disclosure material and market extension activities.

Mr. Cranmore is a graduate of Suffield Academy and Bates College and received his J.D.
from Catholic University, where he was a member of the Law Review. Mr. Cranmore
received an L.L.M. with a concentration in securities regulation from Georgetown
University Law Center.

Mr. Cranmore is a member of the bars of the State of Connecticut, District of Columbia,
Commonwealth of Massachusetts and various federal bars. He is a member of the
Connecticut Bar Association and has served on the Executive Committee of the Financial
Institutions Section of the Bar Association since 1986.

Mr. Cranmore serves as a member of the Advisory Council to the current and five
previous Banking Commissioners of the State of Connecticut with respect to
Connecticut's securities laws.

Mr. Cranmore previously served as counsel to the Office of the Comptroller of the
Currency in Washington, D.C. and New York, NY and represented the OCC in a wide
range of banking and securities matters.

Joseph V. Meaney, Jr.

Prior to joining the law firm of Cranmore, FitzGerald & Meaney, Mr. Meaney was a
partner in the law firm of Gross, Hyde & Williams.

Mr. Meaney has extensive litigation experience representing individuals and corporations
in both Connecticut state and federal courts. Although Mr. Meaney's litigation practice
has encompassed matters involving personal injury and professional malpractice, his
practice is concentrated in the area of commercial litigation. Mr. Meaney has represented
individuals, banking institutions, finance corporations and other institutions with respect
to issues involving bank and securities fraud, secured transactions, lender liability,
purchase and sale agreements, ERISA, pension fund and fiduciary liability, and other
general corporate litigation matters.

Mr. Meaney is a graduate of the Taft School and received his B.A. from Cornell
University and his J.D. from the University of Connecticut School of Law.

Mr. Meaney is a member of the Connecticut, New York, Massachusetts and District of
Columbia Bars. Mr. Meaney is also a member of the Hartford County, Connecticut and
American Bar Associations, Connecticut Trial Lawyers Association; and The Association
of Trial Lawyers of America. Since 1988, Mr. Meaney has served as a Special Master for
the United States District Court. Mr. Meaney has been voted to the "Best Lawyers in
America" list since 2006.

John P. McHugh, Jr.

Prior to joining the law firm of Cranmore, FitzGerald & Meaney, Mr. McHugh was
associated with the law firm of Updike, Kelly & Spellacy, P.C. Mr. McHugh represents
banks in connection with commercial asset-based and real estate lending, and
concentrates on matters involving banking, real estate, environmental, corporate, and
related litigation issues. Mr. McHugh regularly represents borrowers in connection with
the purchase of a variety of real estate properties, including office buildings, shopping
centers, and industrial buildings. Mr. McHugh also regularly advises clients on a number
of "1031" tax deferred exchange issues.

Mr. McHugh has lectured at various banking, regulatory and lending seminars, and was
an instructor in Banking Law with the American Institute of Banking.

Mr. McHugh received an A.S. from the State University of New York at Farmingdale in
1980; an A.B. from The College of the Holy Cross in 1983, and a J.D. from St. John's
University School of Law in 1986.

Mr. McHugh is licensed to practice law in Connecticut, New York and New Hampshire, and
is also admitted to practice before the United States District Court, District of
Connecticut. He is also a member of the Connecticut, New York and New Hampshire Bar
Associations.

Patricia D. Anderson

Ms. Anderson's practice concentrates in bank regulatory and securities issues and in
corporate transactions affecting financial institutions and their holding companies. Ms.
Anderson represents banks, savings and loan associations, and credit unions in areas
such as securities offerings, corporate and regulatory reporting, and compliance matters.

Ms. Anderson is a graduate of Albertus Magnus College where she received her B.A.
degree in Economics. Ms. Anderson received her J.D. cum laude from Western New
England College School of Law where she also received the American Jurisprudence
Award in Torts.

Ms. Anderson is a member of the State of Connecticut Bar and the Connecticut Bar
Association. Ms. Anderson Chaired the Financial Institutions Section of the Connecticut
Bar Association from 2003 through 2006. From 1998 through 2003, Ms. Anderson served
as Legislative Liaison for the Financial Institutions Section of the Connecticut Bar
Association. Currently, Ms. Anderson serves on the Executive Committee of the Financial
Institutions Section of the Connecticut Bar Association.

Ms. Anderson is a member of the Bank Compliance Association of Connecticut and
served on the Board of Governors of the Bank Compliance Association from 2006
through 2008. Ms. Anderson is a member of the Society of Corporate Secretaries and
Governance Professionals. Ms. Anderson co-authored Banking Law, 1991 Cumulative
Supplement and Introduction to Federal and Connecticut Bank Regulation, Professional
Education Systems, Inc. (1990).

John C. FitzGerald, Jr. (Of Counsel)

Mr. FitzGerald has a broad base of litigation experience, representing individuals and
institutions in state and federal litigation.

Prior to the formation of Cranmore, FitzGerald & Meaney, Mr. FitzGerald practiced law
with the firm of Updike, Kelly & Spellacy, P.C., where his litigation practice encompassed
matters involving commercial and regulatory law, insurance defense, construction,
contracts, products liability, personal injury, defamation and civil rights. Over the last
few years, Mr. FitzGerald has also represented both institutions and individuals in
connection with a number of bank and securities fraud cases. Mr. FitzGerald has
extensive litigation experience with both the Connecticut and federal court systems and
is also admitted to practice in the Commonwealth of Massachusetts.

Mr. FitzGerald is a graduate of the Hotchkiss School and Hampshire College and received
his J.D. cum laude from the University of Connecticut School of Law, where he also
received the M. Joseph Blumenfeld Prize.

Mr. FitzGerald has taught at the University of Connecticut School of Law in the areas of
Appellate Advocacy and Civil Procedure. He annually lectures to a group of Insurance
Agents and Producers on topics involving Insurance law and ethics. Mr. FitzGerald also
has been selected to serve as a Special Master and Parajudicial Officer in the United
States District Court for the District of Connecticut and on the U.S.D.C. Merit Review
Panel.

Mr. FitzGerald is a member of the State of Connecticut Bar, the Commonwealth of
Massachusetts and the United States District Court, District of Connecticut and the
Second Circuit Court of Appeals. He is also a member of the American and Connecticut
Bar Associations.

Thomas A. Klee (Of Counsel)

Tom Klee has extensive experience representing business organizations and public
companies both as in-house counsel and outside attorney.

Mr. Klee began his career as special counselin the Division of Corporation Finance at the
Securities and Exchange Commission in Washington, D.C. He then was securities and
corporate counsel at The Travelers Corporation and Hartford Life, Inc. He has also
represented numerous public companies, advising them in fulfilling all their obligations
under state and federal securities laws, at Shipman & Goodwin, LLP in Hartford and at
Cranmore, FitzGerald & Meaney.

Mr. Klee is the former Chair of the Business Law Section of the Connecticut Bar
Association and is past President of the Hartford Chapter of the American Society of
Corporate Secretaries. He is a graduate of Cornell University and Cornell Law School. He
is a member of the bars of Connecticut, New York and the United States Supreme Court.

Jennifer L. DiBella

Ms. DiBella is a graduate of the University of Connecticut where she received her B.S.
degree. Ms. DiBella received her J. D. from Western New England College School of Law
where she was a member of the Law Review, Secretary of the Student Bar Association
and President of the school's Phi Alpha Delta Law Fraternity Chapter. While in law school,
Ms. DiBella studied International Business Law in Madrid, Spain and is fluent in Spanish.

Ms. DiBella's practice focuses on banking and securities laws and corporate governance
and related regulatory filings and disclosures. In addition, she has worked on several
merger and acquisition transactions, conversions and bank holding company formations.

Ms. DiBella served as legal counsel for the Greater Hartford Junior Chamber of
Commerce. She is a member of the Business Law Section of the American Bar
Association and the Connecticut Bar Association. Ms. DiBella is also a member of the
Financial Institutions Section of the Connecticut Bar Association and serves on the Young
Lawyers Committee of the Hartford County Bar Association. In addition, she serves on
the boards of several non-profit and young professional organizations throughout the
State of Connecticut. Ms. DiBella was recognized by the Hartford Business Journal as a
2008 "40 Under Forty" winner.

Kyle R. Pavlick

Mr. Pavlick is a graduate of The Cheshire Academy and received his B.S. from The
George Washington University. Mr. Pavlick received his J.D. from the University of
Connecticut School of Law where he received the CALI Award for excellence in Torts and
has been with the firm since 2005. In that time period he has gained experience in a
broad base of litigation in both federal and state court. Mr. Pavlick has helped represent
clients in matters involving personal injury, professional malpractice, ERISA, and other
matters in commercial litigation.

Mr. Pavlick is admitted to both the federal and state bars of Connecticut. He is a member
of the Connecticut Bar Association and the American Trial Lawyers Association.
